Your Guide to Acquisition Finance

When you approach either bank or non-bank lenders with your purchase project, they will need extensive information about your plans before parting with any money. The factors they will look at include:

The form of acquisition. Are you taking over a competitor or a business further up or down your supply chain? Or is it a management buyout, and if so, what investment will the management team be making personally?

Knowledge and experience. Will the right level of knowledge and experience in both the business and the industry sector be retained? Does the leadership team have the appropriate experience of takeover or merger situations?

Cost and revenue synergies. Is it clear how the costs of the new business can be controlled and the revenues enhanced, taking advantage of the increase in scale? How much more competitive will you become?

Relative size of the businesses. Are you taking over a company that’s considerably smaller than your own, or is this a merger of two similarly sized operations?

The level of management expertise. If the acquisition is taking you into a new market, do you have the knowledge necessary to succeed there? To what extent will previous management be retained and will there be an element of management buy-in, injecting external expertise into the running of the business?

Transaction Structure. What are the stages in the commercial process of the acquisition? This includes the legal documentation process, due diligence and risk management actions.
